1. The App

Stem Checker is a macOS utility designed to help users load and analyse audio stems, including playback and waveform-based analysis. Audio processing occurs locally on your device.

2. Eligibility & Account

You may need to create an account to access certain features. You agree to provide accurate information and to keep your account credentials secure. You are responsible for all activity that occurs under your account.

3. Subscription, Trials & Billing

Certain features require a paid subscription ("Pro"). Subscriptions are offered via Apple In-App Purchases and are billed through your Apple ID account.

• Free trial (if offered): If you start a free trial, you will not be charged until the trial ends. Your subscription will then renew automatically unless cancelled at least 24 hours before the end of the trial period.
• Auto-renewal: Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current period.
• Managing subscriptions: You can manage or cancel your subscription in your Apple ID account settings in the App Store.
• Price changes: Apple may require your consent to continue a subscription if the price increases, depending on local rules and the amount of the change.

We do not process or store your payment card details. Refund requests are handled by Apple in accordance with Apple's policies.

4. Licence

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to download, install, and use the App for personal or professional use. You must not reverse engineer, decompile, or attempt to extract the source code, except where permitted by law.

5. Acceptable Use

You agree not to:

• Use the App in any way that violates applicable laws or regulations.
• Interfere with, disrupt, or attempt to gain unauthorised access to the App or related systems.
• Use the App to upload or distribute malicious software (note: Stem Checker does not upload your audio files, but this includes misuse of any associated services).
• Misrepresent your identity or attempt to access another user’s account.

6. Intellectual Property

The App, including its design, features, and underlying technology, is owned by Stem Checker Limited (or its licensors) and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the App except as permitted under these Terms.

7. Third-Party Services

The App may rely on third-party services (for example, Apple’s payment and account systems). Your use of those services may be governed by their own terms and policies. We are not responsible for third-party services outside our control.

8. Disclaimers

The App is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the App will be error-free, uninterrupted, or meet your requirements.

9. Limitation of Liability

To the maximum extent permitted by law, Stem Checker Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your use of (or inability to use) the App.

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

10. Termination

We may suspend or terminate your access to the App if you breach these Terms or if we are required to do so by law. You may stop using the App at any time. If you have an active subscription, you must cancel it through your Apple ID settings.

11. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify you (for example, by updating the date at the top of this page). Your continued use of the App after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
